Terms of Service

1. About these Terms

These Terms govern your use of the website at psxpay.com and of the PSXPay software (the "Services"), operated by PSX Holdings LLC ("PSXPay", "we", "us"). By using the Services you agree to these Terms. If you do not agree, do not use them.

Merchants are also bound by the Platform Agreement. If the two conflict, the Platform Agreement controls for merchants.

2. What the Services are

PSXPay provides compliance software for WooCommerce stores that sell research-use-only products to qualified business buyers. The software provides a buyer gate, passwordless sign-in with a signed intended-use attestation, a tamper-evident attestation ledger, and storefront scanning and scoring.

We are not a payment processor, money transmitter, bank, or registered payment facilitator. We do not sell peptides or any other research product, and we are not a party to any sale between a merchant and a buyer.

3. Eligibility

You must be at least 21 and able to enter a binding contract to use the Services. If you act for a business, you confirm you have authority to bind it.

4. Buyers

If you reach the Services through a merchant's store, your purchase is with that merchant, not with us. Questions about orders, refunds and shipping go to the merchant. You agree that what you affirm at the buyer gate and in your attestation is true. False statements may be reported to the merchant and may lead to loss of access.

5. Acceptable use

You agree not to:

  • use the Services for an unlawful purpose or to support the sale of products for human use;
  • give false information, or impersonate another person or business;
  • interfere with, probe, or bypass the Services, including the buyer gate, attestation, ledger or scoring;
  • copy, resell, or reverse engineer the Services, except where the law does not allow us to restrict this;
  • send malicious code or automated traffic intended to disrupt the Services.

6. No legal or compliance advice

Scores, findings, templates and other content are general information and software output. They are not legal advice, and we are not a law firm or a regulator. A score does not mean a store, product or practice is lawful or will be accepted by a processor. You should consult your own counsel.

7. Intellectual property

We own the Services and their content, other than content you provide. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. Stripe and other third-party names belong to their owners, and using them here does not imply endorsement.

8. Third-party services

The Services work with third-party products, including WooCommerce and Stripe. We don't control them, and their own terms apply.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THEY WILL DETECT EVERY ISSUE.

10. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND $100.

11. Indemnity

You will defend and indemnify us against third-party claims arising from your breach of these Terms or your misuse of the Services.

12. Suspension and termination

We may suspend or end your access if you breach these Terms or if we must do so by law. You may stop using the Services at any time. Sections that by their nature should survive will survive termination.

13. Governing law

These Terms are governed by the laws of New Jersey, without regard to conflict-of-law rules. Courts located in New Jersey have exclusive jurisdiction, unless the law gives you a right to bring a claim elsewhere.

14. Changes

We may update these Terms by posting a new version here and changing the date above. Material changes take effect 30 days after posting. Continuing to use the Services after that means you accept them.
